AGREEMENT BETWEEN COMPANY AND IT SERVICE ENGINEER
This service agreement (“Agreement”) is made and entered into effective as of 001 January 2022 (the “Effective Date”), by and between C7 TechSolutions
(“Company”) working from At- Nuahat, Po- Jabara, Kuakhia, Jajpur, Odisha 755009, and ______________________________________________________________________________________________(“Representative/IT Service Engineer” -ISE).
The company is pleased to engage you as an IT Service Partner in our organization hereby on the following terms and conditions:
1. Term of Agreement
The term of this Agreement will begin on the Effective Date and expire on DD-MM-YYYY. The company will have the option to renew this Agreement for IT Service Engineer (I S E ) additional One ( 1 ) year terms.
2. Duration of the Contract
Your part-time engagement period shall be for a period of Eleven months, beginning from DD-MM-YYYY, which can be extended further or terminated earlier with Two Month notice on either side, without assigning any reason.
3. Software and Services
3.1 I T Service Engineer provision of the representative identity shall not constitute an agreement of sale. No title, patent, copyright, trademark, trade secret, intellectual property, or other ownership rights of the Company are not transferred to any individual by virtue of this Agreement.
3.2 You will operate within the designated area as defined by the organization in confirmation with you.3.3 You will be required to maintain utmost secrecy in respect of Project documents, commercial offer, documents, Project cost & Estimation, Technology, Software packages license, Companies policies, Company patterns & Trade Mark and Company’s Human assets profile.3.4 You will be required to comply with all such rules and regulations as in the Annexure attached and as the Company may frame from time to time.3.5 Any of our Technical or other important information which might come into your possession during the continuance of your assignment with us shall not be disclosed, divulged, or made public by you even thereafter.
3.6 If at any time in our opinion, which is final in this matter you are found non-performer or guilty of fraud, dishonest, disobedience, disorderly behavior, negligence, indiscipline, absence from duty without permission, or any other conduct considered by us deterrent to our interest or of violation of one or more terms of this letter, your services/partnership may be terminated without notice and on account of the reason of any of the acts or omission the Company shall be entitled to recover the damages from you.
3.7 You will not accept any present, commission or any sort of gratification in cash or kind from any person, party or firm, or Company having to deal with the Company and if you are offered any, you should immediately report the same to the Management.
3.8 You will be responsible for the safekeeping and return in good condition and order of all Company property, which may be in your use, custody, or charge.
4 Technical Obligations of Company
4.1 The representative shall not use any Third Party Products without the knowledge of the Company, all the Spares and Software’s shall be well approved by the superior authority of the Company.
4.2 All the activities of the Company representative shall be of at most honesty and legally bound the said obligation shall be applicable on all such Data and Software Operation Under the umbrella of C7 TechSolutions.
5 Invoice & Payment
You will be paid on a per Call basis or Weekly or Monthly basis as per the charges finalized by C7 Team & You shall prepare invoices in accordance with its standard invoicing practices or reporting manager will share the billing details with the account team. Invoices will validate accordingly the service report and be payable within 30 days of receipt.
6.1 Confidential Information. You will be required to maintain utmost secrecy in respect of Project documents, commercial offers, documents, Project cost & Estimation, Technology, Software packages License, Companies Policies, Company’s Patents & Trade Mark and Company’s Human Assets Profile.
6.2 You are required to maintain at most responsible approach towards all the memorandums and documents of the company without disclosing any confidential information of the procedures notes and technical update of the company, the price tags, and fees structures shall be decided by the Company and you’re expected to abide by it.
7 Company Restriction
7.1 ISE is not at any liberty to reassign or arrange for an alternate Support that is not recognized by the company, you are bound to meet his responsibility without any compromise very diligently, and under unfavorable conditions, the ISE shall intimate the superior officer about this unavailability.
7.2 The ISE is advised to maintain the record of all his activities and update the same to the central source, the ISE is absolutely restricted to using any spares, software, Components without the knowledge of the Company to the client’s associate.
7.3 You are restricted from having any unaccounted financial transaction pertaining to the services of the Company, all the monetary transactions shall be on record during the service sessions of the company as per the Company Process.
8 Dispute Resolution
8.1 To the extent that, is applicable to this contract and is not preempted by other applicable law, the dispute resolution process provided for in, shall be used by the Company to attempt to resolve any claim for breach of contract made by the support that cannot be resolved in the ordinary course of business. The Owner of the Company shall examine support claim and any counterclaim and negotiate with support in an effort to resolve such claims. The parties hereto specifically declare that any such dispute arising during the contract period shall be before the local jurisdiction of the Head Office of the Company.9 Compensation and Payments
9.1 ‘ISE’ shall be paid service compensation as per closed calls Week/monthly basis after verifying the necessary supporting documents by ‘C7’.
9.2 All payments are subject to deduction of income tax at source (TDS) or any other statutory deduction for the time being in force.
9.3 C7 TechSolutions shall issue a payment statement (Confirmation of balance) Certificate,
9.4 C7 TechSolutions shall have the right to offset, without notice to ISE, any dues of ISE irrespective of aging under this Agreement, or any other agreement between C7 and ISE against the service compensation.
10 Audit and Compliance
The Company shall reserve the right to verify and audit Documents and work Processes of the ISE as applicable in the general Business interest and take appropriate action if found non-compliant.

Being an IT Service Engineer, do hereby solemnly affirm and
Acknowledge the following:1. This Code of Conduct (“COC”) is intended to regulate the conduct of IT Service Engineer under the supervision and during the term of C7 TechSolutions (“C7”).2. C7 is responsible for administering the Code.3. Each of the Engineers SHALL:
I. Always present oneself professionally to the end customer/client.II. Engineer Should Carry his Government ID proof and ID Card provided by C7.III. Be polite to all the users.IV. Always present oneself as a “C7” Engineer on the client site.V. All communication to the client must be channeled through the C7 help Desk.VI. The client’s expectations are met as per the contract.VII. Prompt response to the client.VIII. Valid approval is obtained from the client before performing tasks in case of downtimes/outages.IX. Response and Resolution time adhere, or else it should be supported by proper justification.X. All Schedules must be adhered to, if there are any changes, these must be approved by the client via the C7 help Desk.XI. Leave the site only upon approval from Client or C7.XII. Consume the food/drinks only in the designated area or Canteen / Break out facility.XIII. Keep the Client site clean & Personal Hygiene is maintainedXIV. The client’s Hygiene policy is adhered to and followed.XV. Any planned leave, take approval from C7.XVI. Any unplanned leave, Inform C7 before the start of the business hoursXVII. Always adhere to the Client’s IT Policy and procedure and refrain from any violations.XVIII. Conduct yourself ethically and transparently.XIX. Inform C7 in case of any Health, Safety& Environment incident occurs.
4. The Engineers SHALL NOT:
I. Discuss business or contract-related information with client/client representatives.II. Discuss commercial information regarding the service with client/client representatives.III. Conduct Offensive/Intimidating.IV. Fraud or theft.V. Bringing personal work to the office.VI. Respond to any question or query from the client unless it is technical in nature and for a specific incident/issue.VII. Attend to any issue or complaint from the client without logging a ticket.VIII. Take out any document or devices or data from Client premises without permission in writing.IX. Upload any C7 or C7’s client-related information on social media.X. Upload photos from site on the social mediaXI. Bring any hard disk or any storage device to any client site.XII. Use the client’s email address for any communication outside the client’s domain.XIII. Request passwords from users.XIV. Share known passwords with anybody.XV. Smoke in premises unless there are designated smoking zone that you can use.XVI. Raise your voice or get rude; thoughts should be kept as a thought! And not pulled out in public; be friendly!XVII. Leave the cables / Systems / Spare devices on the table and leave the room in a messy state.XVIII. Wear Informal dress / Casual Dress / Half pants / floaters etc.XIX. Obtain favors, discounts, gifts or special privileges from an entity or person who has the potential or intent to engage in a business relationship with the Organization.
